Thrive Point Media Terms of Service

Effective Date: Upon project start or payment of any invoice, you automatically accept and agree to these Terms of Service (“TOS”).

1. Services

Thrive Point Media provides web design, development, hosting, maintenance, SEO consulting, and related digital services as described in your signed proposal or statement of work. Any changes must be documented in a written change order outlining additional fees and timelines.

2. Fees & Payment

Deposit & Balance: A non‑refundable 50% deposit is due at project commencement; the remaining balance is due on delivery or per milestones.

Late Payments: Invoices are due within 15 days. Late payments incur interest at 1.5% per month (up to the legal maximum).

3. Client Obligations

You agree to:
- Provide timely feedback, content, and materials.
- Grant necessary access to third‑party accounts.
- Respect our proprietary work and not reverse‑engineer code.

4. Intellectual Property & Confidentiality

- Ownership: Upon full payment, final deliverables are assigned to you; third‑party components remain subject to their own licenses.
- Portfolio License: You grant us a perpetual, non‑exclusive license to showcase your project in our marketing.
- Confidentiality: Both parties will keep non‑public information confidential for three years after project end.

5. Warranties & Liability

- Warranty: Services will be performed professionally and in line with industry standards.
- Disclaimer & Limits: Except as stated, all other warranties are disclaimed. Neither party is liable for indirect or consequential damages. Our total liability will not exceed the fees you have paid for the specific service.

6. Termination & Governing Law

- Either party may terminate for uncured material breach with 30 days’ written notice. You will pay for all work performed through termination.
- Surviving sections: Client Obligations, IP & Confidentiality, Warranties & Liability, Governing Law.
- These TOS are governed by the laws of Texas, USA.

7. Updates & Contact

We may revise these TOS by posting an updated version on our website; material changes will be communicated 30 days in advance. Continued use of our services implies acceptance.
